Mergers and Acquisitions

Our Tokyo M&A lawyers provide legal services for all types of local and cross-border merger and acquisition transactions, including stock and asset purchases, tender offers, leveraged buyouts, going-private transactions, spin-offs, reorganizations, recapitalizations, primary and secondary acquisitions by investment funds, and purchases and sales of divisions and subsidiaries. We also structure and negotiate a wide variety of strategic alliances, joint ventures, licensing agreements, and sales, marketing and distribution arrangements.

Our corporate group represents numerous early stage and emerging companies together with venture capital and strategic investors, principally in Silicon Valley, “Silicon Alley” in New York, and Seattle, as well as through our growing presence in Japan and throughout the Asia-Pacific region. Our representation of a client often begins at the formative stage or in connection with “angel” round or venture and mezzanine financings. We assist clients in determining which form the entity should take in all aspects of these financing activities. We also assist matured companies and venture capital firms with their fund-raising and investment activities. Our team has participated in numerous cross-border financing transactions for technology companies.
