Advised Johnson Controls in its acquisition of a 60 percent interest in Hitachi Appliances’ global HVAC (heating, ventilating, and air conditioning) business and the creation of a global joint venture with Hitachi to develop manufacture and sell HVAC systems. The global business has approximately US$2.8 billion in annual sales, with 14,000 employees and 24 manufacturing plants. The acquisition also entailed negotiating a global joint venture agreement, restructuring the global holding structure for the business, negotiating arrangements with multiple JV partners of the business and conducting a tender offer in India. 

Advised U-Shin Ltd., one of Asia's largest producers of automotive access mechanisms, in its acquisition of Valeo’s Access Mechanisms Business.  The acquisition involves 12 plants in 8 jurisdictions, including Asia, Europe and South America, and is valued at €203 million.

Advising Sanei International Co., Ltd., a leading Japan-based clothing and accessories retailer, on its approximately ¥3.3 billion sale of its interest in Kate Spade Japan Co., Ltd., a joint venture business between Sanei and Kate Spade, LLC. Orrick also advised Sanei on the joint venture's inception in 2010.

Advising Nippon Soda in its acquisition of Alkaline SAS, a French holding company of MSSA SAS, which produces metallic sodium and other chemical products in France for sale around the world.

Representing a major Japanese pharmaceutical for over 20 years in the largest litigation in Japanese judicial history involving litigations related to HIV- contaminated blood products.

Advising a leading U.S.-based independent analytics provider in a labor tribunal dispute brought by a former employee.

Advising Green Power Investment, a Japanese renewable energy investment company in formation and structuring of a ¥20 billion fund, one of the world’s largest investment funds for global wind energy projects.

Representing Morgan Stanley Real Estate Funds in the ¥41 billion ($492 million) disposition of a trust beneficiary interest in Tokyo’s landmark Yebisu Garden Place to an affiliate of Sapporo Holdings.
